Welcome to Versa Scents LLC (“Versa Scents,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your use of our website, customer accounts, products, subscriptions, event bookings, scent-marketing services, and purchases made through www.versascents.com.

By accessing our website, creating an account, placing an order, beginning a subscription, submitting an inquiry, or purchasing our products or services, you agree to be bound by these Terms, our Privacy Policy, Return & Refund Policy, Subscription Policy, and any applicable Event Agreement.

If you do not agree with these Terms, please do not use our website or services.

  1. ELIGIBILITY

By using our website or purchasing our products or services, you represent that you are at least 18 years old or have permission from a parent or legal guardian.

You agree not to use our website, products, or services for any unlawful purpose or in violation of any applicable law or regulation.

  1. PRODUCTS AND SERVICES

Versa Scents offers products and services that may include:

• Candles
• Perfumes
• Diffuser oils
• Waterless cold-air diffusers
• Air fresheners
• Custom-branded gifts
• Personalized fragrance products
• Candle-making workshops
• Perfume-making workshops
• Candle Bar activations
• Perfume Bar activations
• Corporate events
• Team-building experiences
• Resident appreciation events
• Trade-show activations
• Scent-marketing products and services
• Wholesale products
• Product subscription programs

Product descriptions, fragrances, packaging, pricing, features, and availability are subject to change without notice.

We may discontinue, replace, limit, or modify a product or service at any time.

  1. PRODUCT VARIATIONS

Many Versa Scents products are handcrafted or produced in small batches. Slight variations in fragrance, color, finish, appearance, wax texture, label placement, or packaging may occur and do not necessarily indicate that a product is defective.

Product photographs and digital images are provided for reference. Colors and other details may appear differently depending on lighting, photography, screen settings, and production variations.

  1. PRICING

All prices are listed in U.S. dollars unless otherwise stated.

Prices, promotions, discounts, and product availability may change at any time. Price changes do not affect completed one-time purchases.

We reserve the right to correct pricing, product-description, promotional, or availability errors. If an error affects an order, we may contact you for instructions or cancel and refund the affected order.

Applicable taxes and any shipping charges will be displayed during checkout.

  1. ORDERS

We reserve the right to refuse, limit, hold, or cancel an order for reasons that may include:

• Suspected fraud or unauthorized activity
• Inventory availability
• Pricing or listing errors
• Incomplete or inaccurate customer information
• Unusual order quantities
• Resale activity not authorized by Versa Scents
• Violation of these Terms or another Versa Scents policy

You agree to provide accurate, complete, and current billing, shipping, payment, and contact information.

You are responsible for reviewing your order, including the selected product, fragrance, size, quantity, shipping address, and purchase type, before submitting payment.

  1. VERSA OIL CLUB AND RECURRING SUBSCRIPTIONS

The Versa Oil Club is a recurring monthly subscription for eligible 120 mL diffuser oils.

The price, billing frequency, products included, shipping offer, and other subscription details are displayed on the applicable product page and during checkout.

By selecting the subscription purchase option and completing checkout, you:

• Confirm that you are enrolling in an automatically renewing subscription
• Authorize Versa Scents and its payment processor to charge your selected payment method at the stated recurring interval
• Authorize recurring charges until you pause or cancel the subscription
• Agree to the subscription price, billing frequency, shipping terms, and cancellation terms shown at checkout
• Acknowledge that your selected fragrance will renew automatically unless changed before the next order is processed

Subscription enrollment is optional. Eligible oils may also be available as one-time purchases at the applicable regular price.

  1. SUBSCRIPTION BILLING

Subscription charges are processed automatically on the recurring billing date associated with the subscription.

The customer is responsible for maintaining a valid payment method and accurate shipping information.

If a payment fails, Shopify or Versa Scents may retry the payment and send notifications requesting updated payment information. If payment cannot be collected after the permitted retry attempts, the subscription may be paused, skipped, or canceled.

A subscription order is not created or shipped unless payment is successfully processed.

Applicable taxes may be added to each recurring charge.

  1. SUBSCRIPTION PRICING CHANGES

Versa Scents may change the price or terms of a subscription where permitted by law.

Any change affecting an existing subscription will be communicated in advance when required. If you do not agree with a change, you may cancel your subscription before the updated price or terms take effect.

Promotional subscription pricing may be subject to separate terms, expiration dates, or eligibility requirements disclosed at the time of enrollment.

  1. SUBSCRIPTION SHIPPING

Eligible Versa Oil Club orders include free standard shipping within the United States, subject to the terms displayed during checkout.

Free subscription shipping:

• Applies only to eligible subscription products and destinations
• Does not include expedited or premium shipping
• Does not necessarily apply to one-time purchases added to the order
• May exclude shipping rates or destinations exceeding the limits established by Versa Scents
• May be modified or discontinued for future renewals with appropriate notice where required

Customers are responsible for ensuring their shipping address is accurate before each recurring order is processed.

Versa Scents is not responsible for delays or delivery issues caused by an incorrect, incomplete, or outdated address provided by the customer.

  1. SUBSCRIPTION FRAGRANCE SELECTIONS

The fragrance selected when the subscription is created will continue with each recurring shipment.

Customers who wish to change fragrances must contact support@versascents.com before their next billing or fulfillment date.

Fragrance-change requests:

• Are subject to product availability
• Must be submitted before the next order is processed
• Cannot be guaranteed after billing or fulfillment has begun
• May require Versa Scents to update the subscription manually

If a selected fragrance becomes unavailable, we may contact the customer to choose another fragrance, delay the shipment, skip the affected order, or provide another appropriate resolution.

  1. SKIPPING, PAUSING, AND CANCELING SUBSCRIPTIONS

Customers may manage eligible subscriptions through their customer accounts, including:

• Skipping an upcoming order
• Pausing a subscription
• Resuming a paused subscription
• Updating payment information
• Updating a shipping address
• Canceling future renewals

Subscription changes must be completed before the next scheduled payment begins processing.

Canceling a subscription prevents future renewals. It does not automatically cancel or refund an order that has already been charged or entered fulfillment.

Once a recurring order has been processed, it is governed by our Return & Refund Policy.

There is no cancellation fee for the Versa Oil Club unless a different commitment or offer is clearly disclosed and accepted at enrollment.

  1. CUSTOMER ACCOUNTS

Customers may be required to access a Shopify customer account to manage a subscription.

You are responsible for maintaining access to the email address connected to your account and for notifying us if you believe your account has been accessed without authorization.

You may not use another person’s account or impersonate another customer.

  1. PAYMENT

Payment is due at the time of purchase unless otherwise agreed in writing.

Payments are securely processed through Shopify and other authorized payment providers. Versa Scents does not receive or store complete payment-card numbers on its own servers.

For event bookings, invoices, deposits, balances, payment schedules, and due dates will be outlined in the applicable proposal, invoice, or Event Agreement.

Failure to make a required payment may result in cancellation, suspension, release of an event date, delayed production, or non-fulfillment of an order.

  1. SHIPPING AND DELIVERY

Shipping and delivery dates are estimates and are not guaranteed unless expressly agreed in writing.

Versa Scents is not responsible for delays caused by:

• Shipping carriers
• Severe weather
• Natural disasters
• Customs processing
• Transportation interruptions
• Incorrect customer information
• Supply-chain disruptions
• Circumstances outside our reasonable control

Customers are responsible for monitoring tracking information and providing a secure delivery location.

If an order is lost, damaged, marked delivered but not received, or otherwise affected during transit, contact support@versascents.com promptly. We may require photographs, tracking information, carrier documentation, or other information before determining an appropriate resolution.

  1. RETURNS AND REFUNDS

Returns, refunds, exchanges, subscription orders, opened products, and damaged or incorrect shipments are governed by our Return & Refund Policy.

By placing an order, you acknowledge that you have reviewed and accepted that policy.

Opened, used, burned, installed, altered, or customized products may be ineligible for return.

  1. EVENT BOOKINGS

Event dates are not reserved until the required deposit, payment, or acceptable accounts-payable documentation has been received in accordance with the applicable proposal or agreement.

Unless otherwise stated in a signed Event Agreement:

• Deposits are non-refundable
• Payments for custom materials, personalized products, branded items, and production costs are non-refundable once production has begun
• Final guest counts may be required before the event
• Guest-count reductions may not reduce the invoiced amount after the applicable deadline
• Additional guests may result in additional charges
• Rescheduling requests are subject to availability and approval
• The client is responsible for providing accurate venue and logistical information
• The client is responsible for venue access, parking, unloading instructions, and required approvals
• Event dates may be released when payment requirements are not satisfied

Separate Event Agreements may include additional terms concerning deposits, payment deadlines, rescheduling, cancellation, weather, outdoor conditions, conduct, damage, staffing, attendance, photography, and venue requirements.

If an Event Agreement conflicts with these Terms regarding a specific booking, the signed Event Agreement controls.

  1. CUSTOM ORDERS

Custom and personalized products are created specifically for each customer.

Custom orders may include:

• Custom labels
• Personalized packaging
• Corporate branding
• Event favors
• Custom fragrances
• Wholesale custom products
• Personalized gift sets

All custom orders are final sale once production has begun.

Customers are responsible for reviewing and approving spelling, logos, artwork, colors, names, dates, and other customization details before production.

Versa Scents is not responsible for errors contained in materials approved by the customer.

  1. WHOLESALE ORDERS

Wholesale purchases are subject to the pricing, quantities, lead times, payment requirements, shipping terms, and other conditions provided through the applicable wholesale platform, invoice, or agreement.

Unless otherwise stated, wholesale purchases are final sale except when products arrive damaged, defective, incorrect, or an error occurred on our part.

Unauthorized resale, marketplace listing, relabeling, alteration, or misrepresentation of Versa Scents products is prohibited.

    1. DIFFUSER OIL FORMULATION AND COMPATIBILITY

    VS 360™ Diffuser Oils are ready-to-use blends made with an MCT oil base and fragrance oil for compatible waterless, cold-air diffusion systems.

    The product is pre-blended and should not be diluted, altered, or mixed with water, additional MCT oil, fragrance oil, carrier oil, or any other substance.

    If you use Versa Scents oil with a diffuser not purchased from Versa Scents, you are responsible for:

    • Reviewing the device manufacturer’s instructions
    • Confirming that the device accepts an MCT-based diffuser-oil blend
    • Confirming that the formulation and viscosity are appropriate for the device
    • Installing and operating the device correctly
    • Cleaning and maintaining the device as directed by its manufacturer

    Some third-party devices may require a different oil base, viscosity, formulation, or proprietary product supplied by the device manufacturer.

    Versa Scents does not guarantee the compatibility or performance of its oils with third-party equipment.

    To the fullest extent permitted by law, Versa Scents is not responsible for clogging, malfunction, leakage, reduced performance, equipment damage, or voided warranties resulting from:

    • Use with an incompatible device
    • Improper installation or operation
    • Adding water, additional oil, or another substance
    • Mixing the product with another fragrance or formula
    • Failure to clean or maintain the device properly
    • Failure to follow the device manufacturer’s instructions

    Do not use VS 360™ Diffuser Oils in water-based ultrasonic diffusers, humidifiers, heated diffusers, or other devices unless the manufacturer specifically confirms compatibility with an MCT-based diffuser-oil blend.

    Opened oils cannot be returned solely because they are incompatible with a third-party diffuser.

  2. PRODUCT USE AND SAFETY

Customers are responsible for reading and following all product labels, instructions, warnings, and safety information.

Unless a product is specifically labeled otherwise:

• Do not ingest fragrance products
• Keep products away from children and pets
• Avoid contact with eyes
• Do not apply home-fragrance oils directly to skin
• Keep oils and fragrance products away from flames and excessive heat
• Use candles only on stable, heat-resistant surfaces
• Never leave a burning candle unattended
• Stop using a product if irritation or an unexpected reaction occurs

Customers are responsible for determining whether a product is appropriate for their household, space, equipment, sensitivities, and intended use.

  1. SCENT PERCEPTION AND SENSITIVITIES

Fragrance perception and intensity vary by individual, room size, ventilation, temperature, device settings, and other environmental conditions.

Versa Scents does not guarantee that every customer will perceive a fragrance in the same manner or that a fragrance will meet every personal preference.

Customers with allergies, asthma, fragrance sensitivities, pets, children, or other health concerns should review product information carefully and consult an appropriate professional when necessary.

  1. INTELLECTUAL PROPERTY

All content made available through the Versa Scents website or services—including logos, trademarks, product names, fragrance names, product descriptions, photographs, videos, graphics, artwork, packaging, marketing materials, designs, text, and branding—is owned by or licensed to Versa Scents LLC.

Content may not be copied, reproduced, republished, distributed, modified, sold, displayed, or used commercially without prior written permission.

Nothing in these Terms grants you ownership of or a license to use Versa Scents intellectual property except for the limited personal use necessary to access our website and purchase our products or services.

  1. USER CONTENT

If you submit reviews, testimonials, photographs, videos, comments, ideas, or other content to Versa Scents, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, edit, publish, display, distribute, and share that content for business, marketing, advertising, and promotional purposes, unless otherwise agreed in writing.

You represent that you own or have permission to submit the content and that our authorized use will not violate another person’s rights.

We may remove or decline to publish content that is unlawful, misleading, offensive, infringing, or unrelated to our products or services.

  1. WEBSITE USE

You agree not to:

• Use the website for unlawful, fraudulent, or abusive purposes
• Attempt to interfere with website security or operation
• Upload malware, viruses, or harmful code
• Gain unauthorized access to an account, system, or data
• Collect customer information without authorization
• Copy or reproduce website content without permission
• Scrape, crawl, harvest, or extract website content using automated tools
• Submit false information or impersonate another person
• Use our website or intellectual property to create a competing or misleading service

Violation of these Terms may result in restriction or termination of website access, cancellation of orders, or other appropriate action.

  1. THIRD-PARTY SERVICES

Our website may use or contain links to third-party websites, applications, payment services, social-media platforms, and other providers.

Versa Scents is not responsible for the availability, security, content, policies, products, or practices of third-party services.

Your use of a third-party service may be governed by that provider’s own terms and privacy policy.

  1. DISCLAIMER OF WARRANTIES

To the fullest extent permitted by law, the website, products, and services are provided on an “as available” and “as is” basis, except for any express warranties provided in writing.

We do not guarantee that:

• The website will always be uninterrupted, secure, or error-free
• Every product will appear exactly as displayed online
• Every fragrance will be perceived the same way by every person
• A product will be compatible with third-party equipment
• Shipping or event timing will never be affected by circumstances outside our control

Nothing in these Terms excludes any warranty or consumer right that cannot lawfully be excluded.

  1. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Versa Scents LLC and its owners, employees, contractors, affiliates, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of our website, products, subscriptions, events, or services.

To the fullest extent permitted by law, Versa Scents’ total liability for a claim will not exceed the amount paid for the specific product or service giving rise to the claim.

These limitations do not apply where prohibited by law or to liability that cannot legally be limited.

  1. INDEMNIFICATION

To the fullest extent permitted by law, you agree to indemnify and hold harmless Versa Scents LLC, its owners, employees, contractors, affiliates, and representatives from claims, losses, liabilities, damages, and reasonable expenses arising from:

• Your unlawful use of our website, products, or services
• Your misuse of a product
• Your use of oil in incompatible third-party equipment
• Your violation of these Terms
• Your violation of another person’s rights
• Content or materials submitted by you

  1. FORCE MAJEURE

Versa Scents is not responsible for a delay or failure to perform caused by circumstances beyond our reasonable control, including severe weather, natural disasters, fire, flood, government action, public emergencies, labor disruptions, transportation interruptions, carrier delays, utility outages, supply shortages, venue closures, or similar events.

  1. GOVERNING LAW

These Terms are governed by and interpreted under the laws of the State of New Jersey, without regard to conflict-of-law principles.

Nothing in this section limits any non-waivable consumer protection rights available under applicable law.

  1. SEVERABILITY

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

  1. NO WAIVER

Our failure to enforce any provision of these Terms does not waive our right to enforce that provision or another provision later.

  1. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, Return & Refund Policy, Subscription Policy, applicable product disclosures, and any signed Event Agreement, constitute the agreement between you and Versa Scents concerning the applicable website use, purchase, subscription, or service.

  1. CHANGES TO THESE TERMS

We may update these Terms periodically to reflect changes in our products, services, business practices, technology, or legal obligations.

Updates will be posted on this page with a revised “Last Updated” date.

Changes to recurring subscription pricing or material subscription terms will be communicated to affected customers in advance when required by law.

Your continued use of our website or services after revised Terms are posted constitutes acceptance of the updated Terms for future activity, subject to applicable law.
